3DCoatTextura END USER LICENSE AGREEMENT (EULA)

BY INSTALLATING OR USING THIS SOFTWARE YOU AGREE WITH ALL TERMS OF THIS END USER LICENSE AGREEMENT (EULA). YOU AGREE THAT THIS EULA IS EQUIVALENT OF THE USUAL LEGAL CONTRACT BETWEEN YOU AND ANDREW SHPAGIN (AS DEFINED BELOW) AND YOUR ACCEPTANCE OF THIS EULA IS EQUIVALENT TO PUTTING OF YOUR OWN SIGNATURE TO THIS EULA. IF YOU DO NOT WISH TO ENTER INTO THIS EULA PLEASE PRESS 'CANCEL' BUTTON DURING THE INSTALLATION AND DO NOT USE THIS SOFTWARE.

THIS EULA GIVES YOU NON-EXCLUSIVE, ASSIGNABLE, WORLDWIDE LICENSE TO USE THE SOFTWARE ON THE TERMS OF THIS EULA. 

A. If you press 'I agree' button during the installation you will enter into this EULA in the capacity as a Trial (Demo) version User as of the date that you press the button (the Effective Date).
B. If you activate License Key you will enter into this EULA in the capacity of Licensee as of the date of purchase of License Key in accordance with the terms and limitations of Software version to which such License Key is attributed for.  

1.DEFINITIONS

1.1."Software" means this software (3DCoatTextura), unless other software (or version of software) is specifically mentioned, as a result of computer programming in form of application computer program and its components including License Key (as defined below).
1.2."Service" is what you get when using our websites at https://pilgway.com or https://3dcoat.com including access to your Account, storage of registration keys, upload history and more, proposed and made available for purchase or free of charge by Pilgway LLC.
1.3.User means a person which uses the Software under this EULA .
1.4.Account means a User account registered at https://pilgway.com (whether through individual registration or via linking User existing Google or Facebook account to the Account) to download Software or use Services.
1.5.Website means either https://pilgway.com or https://3dcoat.com, or both depending on the context.
1.6.Andrew Shpagin means all co-owners of the exclusive intellectual property rights to Software, including Andrew Shpagin himself, which are represented by Andrew Shpagin who acts on behalf of the co-owners under this EULA for legal purposes.
1.7.End User License Agreement or EULA means this Agreement.
1.8.License Key means certain data (serial or registration file/information/text/key for activation of License) legally obtained and required for activation of Software.
1.9.License means a permission to use this Software in the scope and with limitations according to the License Key at the time when such License Key has been purchased. Purchase of the License Key means purchase of the License. Scope and limitations of the License Key may be found at Website at the time of purchase and/or in the Account, or by contacting customer support at support@pilgway.com or support@3dcoat.com. License is granted through activation of a License Key.
1.10.Learning Mode allows users to learn and practice using 3DCoatTexturas toolset indefinitely, after expiration of Trial (Demo) Mode or the License Key. In that case the usual export functions get disabled; however, users can continue saving and loading files in 3DCoats internal .3b format with limitations of 10 layers and rendered watermarks, without additional limitations on triangles or texture resolution. Users can also export models in .obj format for free, subject to the following limitations: 4,000 triangles from the paint room and textures up to 512x512 resolution without watermarks or higher resolutions with watermarks. Outputs generated in Learning Mode cannot be used for commercial purposes. These technical details may be changed from time to time at the sole discretion of Andrew Shpagin. To access Learning Mode, select the option "Free trial/demo" after running 3DCoatTextura.

2. USE OF SOFTWARE

2.1 Node-Locked or Floating License for Companies and Legal Entities. 
If you represent a company, legal entity, governmental institution, or a body of local self-government and wish to acquire a node-locked license (as detailed in clause 2.11), you may install and use the Software on one office computer (either desktop or laptop) and one home computer of your personnel for employment related tasks per license. The Software cannot be used on two computers simultaneously per License Key. To install and use the Software on multiple computers, you must obtain a floating license (as detailed in clause 2.11).

2.2 Licenses for Educational Institutions. 
If you represent a university, college, school, or other educational institution and require N licenses, you will receive N floating licenses for in-class use and N node-locked licenses for student use under the respective University/School license.

2.3 License for Private Individuals
As a private individual, you may install and use the Software on up to three computers (one office computer and two personal home computers) per license, provided the Software is not used simultaneously on more than one computer. No one else may use the Software on your computers.

2.4 License Key Authentication
The Software will periodically connect to Andrew Shpagin's web-based server for License Key authentication, which is necessary for normal use. This process does not transfer private information other than License Key details. The server will block the Software if it detects simultaneous use on multiple computers with the same License Key. Repeated violations may result in permanent blocking of the License Key and Software functionality.

2.5 Local Area Network Authentication
License Key authentication, as described in Section 2.4, also applies to computers connected to a local area network.

2.6 Use of Services Through Software
If you use any service through the Software (e.g., saving and sharing materials or accessing third-party materials), the respective terms of our Services and those of third parties will apply.

2.7 Definition of Software Use
'Use' of the Software should be understood as defined in the operating manuals or tutorials provided with the Software or published on our website (including our YouTube channel https://www.youtube.com/c/PILGWAY3DCoat). Usage limitations depend on the license type:

(a) Individual License: Allows use by an individual (physical person) for commercial and non-commercial purposes, including employment-related tasks. This license can only be acquired by an individual and may not be transferred to a legal or other entity.

(b) Company License: Can be acquired by a legal entity or contractor and permits use by their employees or subcontractors for commercial and non-commercial purposes (including subsidiaries or multiple offices in different countries), within the limitations of the license type (node-locked or floating).

(c) University/School License: Can be acquired by any person, including state/municipal bodies, for an accredited educational institution and allows use of Software by employees, contractors, and students of such accredited educational institution for non-commercial purposes only.

(d) Student/Teacher License: Allows use by students or teachers (employed or contracted) for non-commercial purposes while engaged with an accredited educational institution.

2.8 Trial (Demo) Mode
The Trial (Demo) mode of the Software, if applicable, provides a fully functional version for 30 days from the Effective Date. After 30 days, functionality will be limited (Learning Mode) at Andrew Shpagin's discretion and may be restored within the scope of the respective License Key. Anybody can use Software for commercial and non-commercial purposes in the Trial(Demo) mode. You may not use the Software for commercial purposes (in any activity aimed for profit) in Learning Mode.

2.9 Free Version of 3DCoatPrint
The free version of 3DCoatPrint is limited to opening, viewing, modifying, and creating 3D models for 3D printing or 2D rendered images. Commercial use is allowed if the 3D models you create are intended to be 3D-Printed or for the creation of rendered images. Using 3D models for other purposes (e.g., in software, video games, artwork, trademarks)  violates this EULA. 

2.10 3DCoatTextura in Learning Mode
3DCoatTextura in Learning Mode is limited to personal non-commercial use. While it allows exporting models in .obj format (with Learning Mode limitations of 4000 triangles from the paint room and you can export textures with resolution up to 512*512 without watermarks or in higher resolutions with watermarks), these models cannot be used for commercial purposes.

2.11 License Types
(a)Node-Locked License: Allows use on one or several computers (as described in clauses 2.1, 2.2, and 2.3 for individual licenses). Multiple simultaneous uses require purchasing the corresponding number of node-locked licenses.
(b)Floating License: Permits installation on any number of computers, with simultaneous use on multiple computers according to the number of License Keys and/or seats purchased under the floating license.


3. INTELLECTUAL PROPERTY OWNERSHIP

3.1 The Software is the proprietary exclusive intellectual property of Andrew Shpagin and other co-owners. The Software is protected by international copyright laws. The code of the Software is valuable trade secret of Andrew Shpagin and other co-owners.
3.2 Any 3DCoat related shopmarks, logos, trade names, domain names and brands are the property of Andrew Shpagin and other co-owners (sublicensees if any).
3.3 The Software may come bundled with, or otherwise include or be distributed with, third party software licensed by a respective supplier and/or open source software provided under an open source license. Use of third party software is subject to the third-party license terms (listed below), or in the absence of third party terms, the terms of this EULA. Copyright to third party software is held by the copyright holders indicated in the third-party software or license.
3.4. The License Key may be sold, transferred or otherwise handed over to any third party. Such a third party must agree and comply with terms of this EULA. In order for the registration data to be changed on Andrew Shpagins server an original owner must contact customer support and provide the necessary information.
3.5 The License Key may only be sold, transferred or otherwise handed over to any third party if it is not limited (e.g. limited to a specific person under loyalty program, individual vs company license, academic program, free licenses, partially paid licenses etc) or is not expired. 
3.6. Andrew Shpagin may decide to lift the restrictions on transfer of License Key at its own discretion upon Users written request.
3.7. All outputs created using the Software shall be the sole intellectual property of their creator, provided that the Software is used in compliance with this EULA.

4 RESTRICTIONS

4.1 You may not attempt to extract the source code of the Software by disassembling or any other means.
4.2 You may not use Software in Learning Mode for commercial purposes or for your profit or if terms and conditions of License Key directly prohibit commercial use of the Software. To make it clear, commercial purpose includes any work under a contract whether paid or free of charge.
4.3. You may not use Software if such use is not explicitly granted to you or envisaged by the respective License Key.
4.4. Software is not intended and may not be used for medical purposes or medical use, or in any other sphere which requires certified or approved either software or equipment.
4.5. Use of Software is at the User's own risk and responsibility. The User assumes all risks associated with the use of the Software and agrees that Andrew Shpagin shall not be held liable for any damages arising from its use.

5. DISCLAIMER 

ANDREW SHPAGIN PROVIDES THE SOFTWARE AS-IS WITH ALL DEFECTS AND FAULTS. ANDREW SHPAGIN DISCLAIMS ALL WARRANTIES TO ANY MATTER. ANDREW SHPAGIN IS NOT LIABLE TO YOU FOR ANY LOSS, DAMAGE OR DETRIMENT. THIS CLAUSE OF THE EULA IS VALID ANY TIME AND IT WILL APPLY EVEN IN THE BREACH OF THE EULA.

6. CONFORMITY TO THE LICENSE

Andrew Shpagin has authority to make request to you concerning observance of this EULA. You agree to provide Andrew Shpagin within 40 days with all documentation that confirms yours compliance with this EULA or Licenses. 

7. PERIOD OF VALIDITY

7.1 In the case of your compliance hereunder the EULA is valid during the period of Software's use.
7.2 Andrew Shpagin may terminate the License if you breach any terms of EULA. In this case you agree to destroy all copies of the Software on your computer and do not use it. Andrew Shpagin may not be held liable for any such termination.
